Terms of Service

Acceptance of Terms

The Service available at https://reflare.io and its subdomains (including app.reflare.io), together with the reflare.io browser extension ("Reflare" or the "Service"), is operated by Reflare Ltd, a company incorporated in the Republic of Cyprus ("we", "us", "our"). Corporate details are available on our Legal Information page.

By creating an account and explicitly accepting these Terms during the signup process, or by otherwise accessing or using Reflare (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these Terms, you may not access or use the Service.

For consumers residing in the European Union, acceptance of these Terms is collected through an explicit, unambiguous action (such as ticking an unchecked box) at the time of signup or purchase.

Who these Terms apply to

The Service is primarily intended for professional use (B2B), including individual creators, agencies, businesses and organizations that subscribe to the Service in the course of their professional activity.

Where these Terms refer to a "consumer", this means a natural person acting for purposes outside their trade, business, craft or profession, as defined by Directive 2011/83/EU and equivalent local laws. Consumer-specific clauses (such as the 14-day right of withdrawal, EU renewal notice and mandatory consumer protection rights) apply only to such consumers.

By subscribing as a business or in a professional capacity, you confirm that you are acting outside the scope of consumer protection law and that consumer-specific provisions of these Terms do not apply to your subscription.

Communications

By subscribing to our Service, you agree to receive newsletters and marketing materials. You may opt out at any time by using the unsubscribe link in our emails.

Subscriptions

Our Service operates on recurring billing cycles (monthly or annual). Subscriptions automatically renew unless canceled before the end of the current billing period.

You must provide valid payment information and authorize automatic charges for the subscription fees.

Renewal notice (EU consumers). For subscriptions concluded with consumers residing in the European Union, you will receive an advance email notification before each tacit renewal, within the timeframes required by applicable consumer protection law. You may cancel at any time before the renewal date from your account dashboard or by contacting support@reflare.io.

Renewal notice and online cancellation (U.S. consumers). Where required by U.S. state automatic-renewal laws (including in California and New York), we provide clear and conspicuous disclosure of the renewal terms at purchase, send any required renewal reminder notices, and allow you to cancel online at any time from your account dashboard, effective no later than the end of the current billing period.

Credit Packs

In addition to subscription plans, Reflare may offer credit packs that can be purchased separately and consumed within the Service (for example, to generate additional AI thumbnails, run extra A/B tests, etc.).

  • Consumption. Credits are deducted in real time as the corresponding features are used. Once consumed, credits are non-refundable, as the underlying digital service has been fully performed.
  • Expiration. Unused credits remain valid for 12 months from the date of purchase, after which they expire automatically.
  • Non-transferable. Credits are tied to your account and cannot be transferred, resold or exchanged for cash.
  • Account termination. Any unused credits are forfeited upon account termination or deletion, except where local mandatory consumer law requires otherwise.
  • Consumer withdrawal. Consumers who exercise their 14-day right of withdrawal may obtain a refund only for credits that have not yet been consumed at the date of withdrawal.

Fair Use, Quotas and Anti-Abuse

We may apply reasonable usage quotas, rate limits and fair-use safeguards to protect the integrity of the Service, our infrastructure and our third-party API allocations. We may throttle, queue or temporarily restrict usage that materially exceeds normal use for a given plan, that indicates automated abuse, or that risks degrading the Service for other users.

Subscriptions, accounts and credits are for your own use (or that of your organization under a business plan). You may not resell, sublicense, rent out or otherwise commercialize access to the Service, nor operate it as a service bureau for third parties, without our prior written consent. We may refuse, cap or unwind usage patterns designed to circumvent plan limits or the credit system.

Free Trial

We may offer limited free trials that require billing information upfront. Charges begin after trial expiration unless the subscription is canceled before the trial ends.

Fee Changes

Reflare, in its sole discretion, may modify the Subscription fees at any time. Any fee changes will take effect at the start of your next billing cycle, and you will be notified in advance via email or through the Service.

Service Availability, Maintenance and Modifications

We may modify, add, suspend or discontinue any feature of the Service, temporarily or permanently, for technical, security, legal or business reasons. Where a change materially degrades the core functionality of a paid subscription, we will use reasonable efforts to inform you in advance; consumers retain all statutory remedies, including under Directive (EU) 2019/770 on digital content and services.

We do not guarantee uninterrupted availability of the Service. Planned maintenance will, where practicable, be announced in advance and scheduled outside peak hours. Temporary unavailability for maintenance, updates or circumstances described in the "Force Majeure" and "Third-Party Platforms and API Dependency" sections does not constitute a breach of these Terms.

Refunds

Refund requests for Subscriptions may be considered on a case-by-case basis. Please contact our support team for any refund inquiries.

Right of Withdrawal (EU Consumers)

This section applies only to consumers as defined in "Who these Terms apply to". Business customers do not benefit from a right of withdrawal.

If you are a consumer residing in the European Union, you benefit from a 14-day right of withdrawal from the conclusion of your subscription contract, in accordance with Directive 2011/83/EU on consumer rights.

Express consent and waiver for immediately performed digital content and services. The Service includes the immediate provision of digital content and services that are fully consumed at the moment of use, in particular AI-generated images, AI-generated thumbnail variants and A/B test executions. By subscribing and starting to use these features, you:

  • expressly request that performance of the Service begin immediately, before the end of the 14-day withdrawal period;
  • acknowledge that you thereby lose your right of withdrawal once the digital content has been delivered or the service has begun, in accordance with Article 16(a) and 16(m) of Directive 2011/83/EU.

This express consent and acknowledgment is collected from you at the time of purchase. For any portion of a subscription that has not been consumed, you may still exercise your right of withdrawal within 14 days by contacting support@reflare.io.

YouTube Integration

By using our Service, you grant us access to your YouTube data for optimization purposes. You retain full ownership of your content.

You can revoke access at any time through your Google Security Settings. Our service complies with Google API policies and YouTube Terms of Service.

Third-Party Platforms and API Dependency

The Service is built on top of third-party platforms and interfaces that are outside our control, in particular YouTube API Services, Google OAuth and related Google services. You acknowledge and agree that:

  • changes to, restrictions of, or the discontinuation of third-party APIs, quotas, pricing, policies or terms may affect, limit or prevent the operation of some or all features of the Service;
  • such third-party changes or decisions do not constitute a breach of these Terms by Reflare; where a material feature becomes permanently unavailable, we will use commercially reasonable efforts to adapt or replace it;
  • your use of YouTube-related features remains subject at all times to the YouTube Terms of Service and applicable Google policies, and you are responsible for your own compliance with them;
  • if Google or YouTube suspends, limits or revokes API access (whether ours or yours), we may suspend or adapt the affected features without liability, without prejudice to consumers' statutory rights and to any pro-rata remedies required by mandatory law.

Content Ownership and Usage

You retain full intellectual property rights to your content. By using our Service, you grant us a limited license to access and analyze your content solely for providing our services.

This license terminates upon account deletion. We do not claim ownership of any content you upload or create through our Service.

Marketing License

By using our Service, you grant Reflare a non-exclusive, worldwide, royalty-free license to use, reproduce, and display thumbnails and related content you create or test through the Service for marketing and promotional purposes. This includes, but is not limited to, use on our website, social media channels, case studies, testimonials, and advertising materials.

You may revoke this marketing license at any time by sending a written request to support@reflare.io. Upon receiving your request, we will cease using your content in new marketing materials within a reasonable timeframe. Content already published or distributed prior to your revocation request may remain in circulation.

Your warranties. By granting this license, you represent and warrant that you own or have obtained all rights, licenses, consents and releases necessary to grant Reflare the rights described above, including without limitation:

  • all copyright, trademark and other intellectual property rights in the content;
  • all rights of publicity, image rights and consents from any identifiable individual appearing in the content;
  • all third-party clearances required to display the content publicly.

You agree to indemnify and hold Reflare harmless from any third-party claim arising from a breach of these warranties, including claims related to right of publicity, image rights, trademark or copyright infringement. The marketing license does not apply to any content for which you have not obtained the required rights, and Reflare may, at its discretion, refrain from using any submitted content for marketing purposes.

Affiliate Program

Reflare runs an affiliate program through FirstPromoter. If you join it, you earn a commission when someone subscribes through your referral link or promo code. Taking part is subject to these Terms and to FirstPromoter's own terms, and we may set the commission rates, attribution windows and payout rules, and change them with reasonable notice.

Disclosure. When you promote Reflare, you must make the affiliate relationship clear to your audience. If you are in the United States, Federal Trade Commission rules require it: your endorsement needs a clear and conspicuous disclosure — for example "#ad", "affiliate link", or "I earn a commission if you sign up" — placed where people will actually see it, not buried in a description or hidden behind a "more" link. This follows the FTC's Endorsement Guides (16 CFR Part 255). Similar rules may apply where you live, and you are responsible for following the ones that do.

If you do not disclose properly, or you promote Reflare in a misleading way or through spam, we may withhold commissions, remove you from the program, or both.

Accounts

You must be 18 years or older to use this Service. You are responsible for providing accurate information and maintaining the confidentiality of your account credentials.

You are responsible for all activities that occur under your account.

Intellectual Property

Reflare owns all original content, features, and functionality of the Service. This includes but is not limited to the design, software, text, graphics, and logos.

Feedback

If you submit suggestions, ideas, bug reports or other feedback about the Service, you grant Reflare a perpetual, irrevocable, worldwide, royalty-free license to use and exploit that feedback for any purpose, without restriction or compensation. Feedback is provided voluntarily and does not create any confidentiality obligation.

Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
  • Interfere with or disrupt the Service or servers connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
  • Use the Service to send spam, unsolicited messages, or promotional materials
  • Use automated scripts, bots, or other means to access the Service without our express written permission
  • Reverse engineer, decompile, or disassemble any portion of the Service

AI-Generated Content

Our Service may utilize artificial intelligence to generate or suggest thumbnail designs and other content. You acknowledge and agree that:

  • AI-generated content is provided "as is" without guarantees of accuracy, originality, or fitness for any particular purpose
  • You are solely responsible for reviewing, editing, and approving any AI-generated content before use
  • Reflare is not liable for any claims arising from your use of AI-generated content, including but not limited to intellectual property disputes
  • You must ensure that any AI-generated content you use complies with YouTube's policies and applicable laws
  • Reflare does not warrant any improvement in click-through rate, views, watch time, revenue or any other performance metric of your channel or content; recommendations are statistical estimates, not guarantees of results

Links To Other Web Sites

Our Service may contain links to third-party websites. We are not responsible for the content, privacy policies, or practices of any third-party sites.

Copyright and Content Notices (Notice and Action)

Reflare respects the intellectual property rights of others and operates a notice-and-action mechanism in accordance with the EU Digital Services Act (Regulation (EU) 2022/2065). Notices from United States rights holders meeting the substantive requirements of Section 512 of the U.S. Copyright Act (DMCA) are also accepted.

If you believe that content available through the Service infringes your copyright, please send a notice to support@reflare.io including:

  1. a physical or electronic signature of the rights holder or authorized representative;
  2. identification of the copyrighted work claimed to have been infringed;
  3. identification of the allegedly infringing material and information sufficient to locate it;
  4. your contact information (name, address, email, phone);
  5. a statement that you have a good faith belief that the use is not authorized;
  6. a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the rights holder.

Notices that do not comply with the above requirements may not be processed. Repeated infringers will have their accounts terminated.

Suspension

We may suspend access to the Service, in whole or in part, with immediate effect and without prior notice where reasonably necessary to: (i) respond to a security incident or credible security threat; (ii) prevent abuse, fraud or unlawful use of the Service; (iii) comply with a legal obligation, a court or authority order, or compliance requirements of a platform partner (including Google / YouTube API requirements); or (iv) address overdue payment, after at least one reminder. We will limit any suspension to what is proportionate, notify you where legally permitted, and restore access once the ground for suspension is resolved. Suspension does not relieve you of payment obligations for services already provided.

Account Termination

We may terminate or suspend your account for violations of these Terms, fraudulent activity, or harmful conduct. You may terminate your account at any time.

After account termination, your personal data will be deleted according to our Privacy Policy after a 30-day grace period.

Limitation Of Liability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied.

We exclude liability for indirect damages, service interruptions, data loss, or unmet requirements to the fullest extent permitted by law.

Mandatory rights preserved. Nothing in these Terms excludes or limits our liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under applicable law. If you are a consumer, you continue to benefit from all mandatory rights granted by the consumer protection laws of your country of residence (including, where applicable, the conformity guarantees of Directive 2019/770/EU on digital content and services).

Liability cap (business customers). To the fullest extent permitted by law, and always excluding the liabilities that cannot be excluded or limited as set out above, Reflare's total aggregate liability arising out of or in connection with these Terms and the Service — whether in contract, tort (including negligence) or otherwise — shall not exceed the total amounts paid by you to Reflare for the Service during the twelve (12) months preceding the event giving rise to the claim. This cap does not apply to consumers.

Time limit for claims (business customers). Any claim by a business customer arising out of or in connection with these Terms must be brought within twelve (12) months of the date of the event giving rise to it, failing which the claim is waived to the extent permitted by applicable law. This limitation does not apply to consumers or where prohibited by mandatory law.

Disclaimer

We do not guarantee that the Service will meet your specific requirements, be uninterrupted, timely, secure, or error-free.

Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such cases, our liability will be limited to the maximum extent permitted by law.

Indemnification

To the fullest extent permitted by applicable law, and except where prohibited by mandatory consumer protection rules, you agree to indemnify, defend, and hold harmless Reflare, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you upload, post, or transmit through the Service

This indemnification obligation does not apply to consumers residing in jurisdictions where it would be unenforceable under local consumer protection law.

Force Majeure

Reflare shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Changes

We reserve the right to modify these Terms at any time. We will notify you of any material changes via email or through a prominent notice in the Service prior to the changes taking effect.

Your continued use of the Service after changes constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Reflare Ltd regarding the use of the Service and supersede all prior agreements and understandings.

Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Cyprus, without prejudice to any mandatory consumer protection rights you may have under the laws of your country of residence.

The parties shall first attempt to resolve any dispute through good-faith negotiation. Failing amicable resolution, any dispute shall be submitted to the exclusive jurisdiction of the competent courts of Nicosia, Cyprus. If you are a consumer residing in the European Union, mandatory jurisdiction rules protecting consumers remain unaffected, including your right to bring or defend proceedings before the courts of your country of residence.

Disputes — U.S. Residents (Arbitration and Class Waiver)

If you reside in the United States, you and Reflare agree that any dispute, claim or controversy arising out of or relating to these Terms or the Service will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, rather than in court. Arbitration will be conducted on an individual basis, in English, and any hearing may be held remotely (by videoconference) unless the applicable rules require otherwise. Fees will be allocated in accordance with the applicable AAA rules.

Class waiver. To the fullest extent permitted by law, you and Reflare each waive the right to a trial by jury and to bring or participate in any class, collective, consolidated or representative action. If this waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court.

Exceptions and opt-out. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief for intellectual-property infringement or misuse of the Service before a competent court. You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by emailing support@reflare.io with the subject "Arbitration Opt-Out" from the email address associated with your account. This section does not apply where prohibited by applicable law and does not deprive consumers of mandatory protections.

General Provisions

Assignment. Reflare may assign or transfer these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, corporate reorganization or sale of all or substantially all of its assets, provided the assignee assumes our obligations under these Terms. You may not assign these Terms without our prior written consent.

No waiver. Any failure or delay by Reflare in exercising a right or remedy under these Terms shall not operate as a waiver of that right or remedy.

Survival. Provisions that by their nature are intended to survive termination — including content licenses and related warranties, indemnities, limitations of liability, and the governing-law and jurisdiction clauses — survive any termination or expiry of these Terms.

Notices. We may give notices by email to the address associated with your account or through the Service; notices are deemed received on the day they are sent to a valid address. Legal notices to Reflare must be sent to support@reflare.io, with a copy by post to our registered office listed on the Legal Information page.

Language. These Terms are drafted in English. If a translation is provided for convenience, the English version prevails to the extent permitted by applicable law.

Trade compliance. You represent that you are not subject to sanctions administered by the European Union, the United Nations, the United Kingdom or the United States, and you agree not to use the Service in breach of applicable export-control or sanctions laws.
